Hey guys - setting my co-hosting business right now and I wanna make sure my first contract is done right! I tried finding help online but can't get any info or examples of contracts and important clauses to include etc. If someone could point me in the right direction or be able to send me an example I'd greatly appreciate it. Also if someone knows important tips or things to avoid😁

Schedule and oversee cleaning service providers for turnover. Inspect the property after each clean. Supplies/Restocking Fund the purchase of all consumables (e.g., toiletries, coffee). Monitor inventory and ensure all necessary supplies are restocked. Maintenance & Repairs Fund all maintenance and repair costs. Identify, report, and coordinate minor repairs and maintenance with appropriate vendors. [Dollar limit] for repairs without prior Host approval (excluding emergencies). Reviews Write and post guest reviews promptly after check-out. 3. Compensation and Payment Terms
3.1. Co-Host Fee Structure: The Host agrees to compensate the Co-Host for the Co-Host Services using the following method:
The Co-Host shall receive [Percentage]% of the total gross booking revenue (which includes nightly rate, cleaning fee, and any other fees collected from the guest, before any taxes or platform fees) for each paid reservation.

The Co-Host shall receive a fixed fee of $[Amount] per booking/month, plus [Percentage]% of the nightly rate.
3.2. Cleaning Fee Allocation: The guest cleaning fee as charged on the booking platform shall be allocated as follows:

4. Expenses and Reimbursement

4.2. Co-Host Authorized Expenses: The Co-Host is authorized to make expenditures for necessary supplies and minor maintenance up to the limit defined in Section 2 (Maintenance & Repairs).
4.3. Reimbursement: For any authorized expenses paid upfront by the Co-Host, the Host shall reimburse the Co-Host within [Number] days of receiving an itemized invoice with corresponding receipts.
5. Liability and Insurance
5.1. Host Insurance: The Host shall maintain adequate homeowner’s insurance, short-term rental liability insurance, and any other necessary coverage for the Property. The Co-Host [Shall / Shall Not] be named as an additional insured on the liability policy.
5.2. Co-Host Insurance: The Co-Host [Shall / Shall Not] maintain their own professional liability (E&O) or business insurance policy with a minimum coverage of $[Amount] per occurrence, and provide proof of such insurance to the Host.
5.3. Indemnification: The Co-Host agrees to indemnify and hold the Host harmless from and against any and all claims, damages, liabilities, and expenses arising from the Co-Host's negligence or intentional misconduct in the performance of the Co-Host Services.
6. Termination of Agreement
6.1. Termination Without Cause: Either party may terminate this Agreement without cause by providing [Number] days written notice to the other party.
6.2. Termination For Cause: Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term of this Agreement. A material breach by the Co-Host includes, but is not limited to, failure to maintain satisfactory guest reviews (e.g., average rating drops below [Number]), failure to respond to guest communications promptly, or misuse of the Host’s property/funds.
6.3. Post-Termination: Upon termination, the Co-Host shall immediately transfer all property-related information, access codes, and documents to the Host. The Host shall pay the Co-Host all earned compensation and reimbursed expenses up to the termination date.
7. Confidentiality and Governing Law
7.1. Confidentiality: The Co-Host agrees to maintain the confidentiality of all sensitive information related to the Host's property, financial data, and guest information. This includes not sharing property access codes, booking details, or proprietary business processes with unauthorized third parties.
7.2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
8. Entire Agreement
This document constitutes the entire agreement between the Host and the Co-Host and supersedes all prior agreements, representations, and understandings, whether written or oral. Any amendments or modifications to this Agreement must be made in writing and agreed upon by both parties.
